How to analyze termination rights with Robin’s Legal Intelligence Platform

Termination rights blog

Manufacturing contracts are full of operational risk: tooling costs, inventory, long lead times and regulatory hoops mean a sudden termination can be expensive.

Robin’s Legal Intelligence Platform helps legal and commercial teams find the risky termination language across hundreds or thousands of agreements, combining that contract intel with external legal research so you can act fast.

What Robin can do for legal teams

Robin’s Tables, part of the Legal Intelligence Platform, help you extract all the information you need from your documents. Within the Legal Intelligence Platform, you can also use Research mode, which lets you search the web, while including your contract as context, directly from within the Robin platform.

Tables give you the facts in your contracts; Research helps you understand what those facts mean in the applicable law or in commercial practice. In the Legal Intelligence Platform, you can use Research Mode (in the Word Add-In or in-platform Chat) to:

  • Search only external legal sites (ignoring the contract in question if not relevant)
  • Return results that cite only external sources (no contract citations in these cases)
  • Combine external research with your contract text where needed

This lets you pair specific contract clauses with authority (cases, practice notes, statutes, guidance).

For example, if you wanted to know:

  • “Under Delaware law, how likely is a termination-for-convenience clause to be enforced as written in a supply agreement?”
  • “If Supplier X terminates for convenience with 30 days’ notice, what damages are typically recoverable by a manufacturer who has invested in tooling?”
  • “What does recent authority say about recoverable losses on contract termination in New York?”

Then take the following steps:

  • In the Chat or Word Add-In, turn on Research, paste the clause (or link the document row from your Table), and ask your question.
  • The Legal Intelligence Platform will return a concise answer with citations to the external sources it used (e.g., Practical Law notes, firm guidance or statutes), and it can cite back to the contract clause where relevant.

Combine Tables and Research into an actionable workflow

  1. Run a Tables extraction across all supplier contracts to identify which contracts allow termination for convenience, notice/cure periods, and related post-termination obligations (inventory, tooling, transition).
  2. Filter and prioritize by operational risk. For example, determine that short notice + tooling exposure = high priority.
  3. For a sample of high-risk contracts, use Research Mode to ask jurisdiction-specific enforceability/damages questions and retrieve authoritative guidance to support negotiation or contingency planning.
  4. Draft remediation (amendment language or playbooks) inside the Legal Intelligence Platform’s drafting tools (Word Add-In), using the Research outputs to back up your proposed clauses.
  5. Monitor: turn the confirmed termination obligations into obligations or alerts in the Legal Intelligence Platform so your teams get notified if conditions change (renewals, cure deadlines, notice windows).

Best practices to get the most out of your contracts

  • Template everything. Build a standard Table template for termination reviews so every reviewer extracts the same fields (consistency = comparable data).
  • Preview before scale. Preview when creating a prompt and refine if required; subtle wording differences in contracts change results.
  • Keep a human-in-the-loop. Use in-platform citations to jump to the clause and have counsel validate commercial remedies before you act. LIP is designed to support human verification.
  • Capture contractual obligations. Bring together all the obligations across different contracts (e.g. post-termination obligations, tooling buybacks, warranty survival) so legal, operations and finance teams are all on the same page.
